Conversion into a joint-stock company: why we must not rush
Dmitry Duyunov explains why it would be wrong to proceed with the conversion right now with a small charter capital of 50,000 rubles, as proposed by some project participants.
1.No one will sign a serious contract with a company that has such capital.
2.It will be impossible to raise debt financing for development.
3.It will be impossible to adequately compensate participants for the funds they have invested — the par value of the shares would be negligible.
Therefore, the sequence of actions remains unchanged: commissioning — valuation of tangible and intangible assets in the required amount — transformation into a joint-stock company — transfer of shares to participants.
Production: process fine-tuning and preparation for series production
Despite administrative challenges, the team continues to set up and improve production.
• The rotor casting mold has been refined, eliminating aluminum leakage between the plates. Casting temperature regimes have been optimized to minimize gas porosity.
• Mass-based rotor quality control has been implemented — deviations over 2 grams are unacceptable.
• In-house test benches are being manufactured for rotor and stator inspection.
• Extrusion material for motor housings has been received; the company will be mastering their production.
The refinement of technological processes and product testing are improving product quality, as noted by customers.
Priorities: markets with the highest margins
The company chooses niches where “Sovelmash” is far ahead of competitors. Therefore, for example, hub motors for bicycles are not in the plans — that market is dominated by China and has low margins.
Dmitry Duyunov: “We target markets where we have no competition. Entering a market with only 3–5% upside is pointless when we can go where it is 200–300%.”
